AGREEMENT TO TERMS AND CONDITIONS OF USE

The terms and conditions of use (Terms and Conditions) specified herein govern the use of www.mattingexperts.com (Website) and the services provided through the Website by MattingExperts.com Corporation (Matting Experts), which owns and operates the Website (collectively, Website Services).

Please read these Terms and Conditions carefully. By using the Website Services, you affirm consent to all of the Terms and Conditions specified herein and agree to be bound by them. As such, these Terms and Conditions represent a binding agreement between you and Matting Experts.

1. General

1.1 Definitions

1.1.1 Consumer: Any individual or entity that visits the Website. Where applicable, the term Consumer shall encompass all customers.
1.1.2 Customer: Any Consumer who uses the Website Services or purchases products through the Website or the Website Services.
1.1.3 Matting Experts Trademarks: Any trademarks, trade names, logos, and other commercial designs of Matting Experts, whether or not formal registration exists.
1.1.4 Manufacturer: Any party who sells or offers for sale goods for purchase through the Website or Website Services.
1.1.5 Website Material: All information and content (in any format whatsoever) on the Website or transmitted via the Website Services.

1.2 By entering and using the Website and the Website Services, you agree to be bound by these Terms and Conditions.

1.3 All parties explicitly agree that the use of the Website and Website Services shall be pursuant to these Terms and Conditions. Matting Experts shall not be bound by any additional or different terms provided by any Consumer or Customer.

1.4 The Terms and Conditions shall be considered and construed as a binding agreement between you and Matting Experts.

1.5 The Terms and Conditions comprise the entire agreement between you and Matting Experts, superseding any prior agreements. Please note that you may be subject to additional rules and regulations that may apply when you apply for and use the Website Services. Any such additional rules and regulations shall be explicitly referenced herein and considered as incorporated within the Terms and Conditions.

1.6 These Terms and Conditions contain disclaimers (including Section 5, Section 6, and Section 7) as well as exclusive remedy provisions (including Section 6).

1.7 Modifications to Terms and Conditions

Because the Internet remains a dynamic communications forum and online commerce regulations evolve, Matting Experts may alter, amend, change, waive, terminate, or modify any term in this Agreement at any time provided that:

1.7.1 Notice of Changes: Should Matting Experts modify any term contained within these Terms and Conditions, notice will be provided by:
- (a) Posting the updated Terms and Conditions to the Website (www.mattingexperts.com);
- (b) Electronic mail or other electronic communication pursuant to Section 8.10; and/or
- (c) As otherwise required by applicable law.
1.7.2 Customer Election: Upon Notice, any Customer may elect to terminate use of the Website and Website Services or accept the modified Terms and Conditions.
1.7.3 Continuation of Service: Should the Customer accept the modified Terms and Conditions, the Customer's use of the Website and Website Services shall proceed under the updated Terms and Conditions.
1.7.4 Documentation: Should the Customer accept the modified Terms and Conditions, the Customer agrees to execute any document presented to memorialize such acceptance. However, the absence of such a document shall not affect the enforceability of or Matting Experts' reliance upon the Customer's acceptance.

1.8 Apart from receiving notice from Matting Experts, you agree to review the Terms and Conditions and relevant rules periodically to stay informed of changes.

1.9 The act of placing a web page (URL) into a temporary file or bookmark on your browser may bypass preceding pages or links to these Terms and Conditions. You hereby agree that any use of bookmarks to enter the Website constitutes acceptance of these Terms and Conditions.

1.10 Your continued use of the Website and Website Services following changes to the Terms and Conditions constitutes acceptance of all such changes.

2. Charges, Billing, and Payments

2.1 Matting Experts reserves the right to choose accepted payment methods, refuse select payment forms, and refuse service to anyone at its discretion.

2.2 Matting Experts presently accepts checks, money orders, and credit card payments. On-account sales may be allowed for government organizations and corporate clients with whom Matting Experts has established credit terms.

2.3 Pricing: Prices remain subject to change without notice. If an order is placed after a price adjustment but prior to publication on the website, Matting Experts will attempt to contact the customer and will not process the order without prior approval.

2.4 Product Details: When placing an order, Customer should review all selected options, dimensions, and product features carefully prior to checkout.

2.5 Minimum Order: At present, Matting Experts does not enforce a minimum order requirement.

2.6 Payment Processing: Prior to shipping any items, Matting Experts reserves the right to:

(a) Hold all check payments for ten (10) business days; and/or
(b) Ensure credit card authorizations have fully cleared.

2.7 International Orders: The Customer shall be responsible for all wire/transfer fees, customs, tariffs, and applicable taxes or duties imposed on international shipments.

2.8 Insufficient Funds: A $39.00 fee will be assessed on any payments returned or rejected due to insufficient funds or uncollectible accounts.

2.9 Timeliness of Payments: Payments must be made on a timely basis. Should Matting Experts fail to receive full payment when due, Customer shall be liable for all reasonable legal and collection fees incurred. Additionally, Matting Experts charges an interest rate of 20% APR on invoices remaining unpaid past twenty (20) days.

2.10 Chargebacks: Should a Customer's banking institution issue a chargeback relating to a payment made to Matting Experts, Matting Experts reserves the right to suspend or terminate shipments immediately, recover any administrative or bank fees incurred, and pursue full legal collection of the underlying balance.

2.11 Refunds and Returns

2.11.1 Authorization: To return a product, Customer must contact Matting Experts and obtain approval (RMA) within seven (7) calendar days of product delivery.
2.11.2 Returnable Items:
- 2.11.2.1 Standard stock items in new, unused, and resalable condition are eligible for return upon authorization.
- 2.11.2.2 Custom-cut sizes, custom lengths, logo mats, personalized items, and special order products are non-refundable and non-returnable.
2.11.3 Return Costs:
- 2.11.3.1 The Customer is responsible for all return shipping costs.
- 2.11.3.2 All return shipments must be prepaid. Matting Experts will reject any returns sent C.O.D.
- 2.11.3.3 A 15% to 20% restocking fee (depending on product category) plus actual original shipping fees will be deducted from the final refund credit.
2.11.4 Defective or Damaged Products: If a product arrives damaged or defective, Matting Experts will replace the item at no additional charge. Customer must inspect shipments prior to signing freight delivery receipts. Any visible package damage or item shortages must be documented on the bill of lading and reported to Matting Experts within five (5) business days.
2.11.5 Delivery Location: Returned items must be shipped directly to the address listed on the Return Goods Authorization (RMA). Returning items to an unapproved warehouse location will result in additional transit fees deducted from the final credit.
2.11.6 Identification: All returned shipping containers must visibly display the issued RMA number on the exterior packaging.
2.11.7 Color Variations: Minor color variations between digital online previews, physical material samples, and delivered production batches may occur due to manufacturing runs and monitor settings. These variations do not constitute defects or shipping errors and remain subject to standard return restocking fees.

3. Intellectual Property Rights

3.1 Copyright

All Website Material (including text, graphics, graphics scripts, icons, images, data, and software) is either owned by or licensed to Matting Experts.

3.1.1 All Website Material constitutes valuable proprietary intellectual property protected under global copyright laws and international treaties.
3.1.2 Limited License: Matting Experts grants Consumers a limited, non-exclusive, revocable license to view, print, or download site content for personal, non-commercial, or legitimate purchasing evaluation purposes.
3.1.3 Manufacturer Links: Authorized product Manufacturers may link to the Website solely during active partner agreements with Matting Experts.
3.1.4 Framing: Consumers and third parties are strictly prohibited from framing, mirroring, or inline-linking any structural element of this Website without express written permission.

3.2 Trademarks

3.2.1 Nothing on this Website grants any license or right to use any Matting Experts Trademarks without express written authorization.
3.2.2 All goodwill generated from the use of Matting Experts Trademarks inures exclusively to Matting Experts.
3.2.3 Third-party brand names, logos, or trademarks referenced on the Website belong to their respective owners.
3.2.4 Matting Experts reserves all rights to restrict unauthorized use of its corporate name, domain, and branding assets.

4. Consumer Conduct

4.1 The Website and Website Services shall be used for lawful purposes only.

4.2 Matting Experts reserves the right to restrict access or refuse service to any party suspected of using the Website or Services for fraudulent or unlawful activity.

4.3 Prohibited Conduct: The Website and Services shall not be used for:

4.3.1 Violating local, state, federal, or international laws and legal regulations;
4.3.2 Transmitting malicious scripts, viruses, Trojan horses, worms, logic bombs, or destructive code designed to compromise software or hardware performance;
4.3.3 Posting or distributing harassing, defamatory, vulgar, obscene, or hateful content;
4.3.4 Transmitting unauthorized commercial advertisements, spam, or unsolicited mass communications;
4.3.5 Attempting to harvest or solicit private financial data from other Consumers; and/or
4.3.6 Attempting to bypass system authentication, brute-force security controls, or gain unauthorized administrative server access.

4.4 Consumers agree to notify Matting Experts promptly in writing upon discovering any security vulnerabilities, system errors, or policy violations on the Website.

5. DISCLAIMER OF WARRANTIES

5.1 THE WEBSITE AND SERVICES ARE PROVIDED ON AN "AS IS", "AS AVAILABLE", AND "WITH ALL FAULTS" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, MATTING EXPERTS DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

5.2 MATTING EXPERTS SPECIFICALLY DISCLAIMS ANY WARRANTIES INCLUDING:

5.2.1 WARRANTIES CONCERNING AVAILABILITY, ACCURACY, RELIABILITY, COMPLETENESS, SECURITY, TIMELINESS, OR UNINTERRUPTED PERFORMANCE OF THE WEBSITE SERVICES OR CONTENT;

5.2.2 WARRANTIES ARISING THROUGH COURSE OF DEALING, PERFORMANCE, OR USAGE OF TRADE;

5.2.3 WARRANTIES REGARDING THE ACCURACY OR ERROR-FREE NATURE OF RESULTING DATA, SYSTEM OUTPUTS, OR CONTENT ON THE WEBSITE;

5.2.4 IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND WORKMANLIKE EFFORT; AND

5.2.5 WARRANTIES OF TITLE OR NON-INFRINGEMENT OF THIRD-PARTY INTELLECTUAL PROPERTY RIGHTS.

5.3 MATTING EXPERTS IS NOT RESPONSIBLE FOR ANY DAMAGE TO COMPUTER SYSTEMS, DATA LOSS, OR HARDWARE MALFUNCTIONS RESULTING FROM DOWNLOADING CONTENT OR SOFTWARE FROM THE WEBSITE.

5.4 THESE DISCLAIMERS APPLY TO ALL PRODUCTS AND SERVICES ORDERED OR PURCHASED THROUGH THE WEBSITE.

6. ADDITIONAL DISCLAIMERS

6.1 Third-Party Links and External Products

7. LIMITATION OF LIABILITY

7.2 FORCE MAJEURE: MATTING EXPERTS SHALL NOT BE LIABLE FOR PERFORMANCE DELAYS OR FAILURES RESULTING FROM ACTS OF GOD, NATURAL DISASTERS, WAR, TERRORISM, GOVERNMENTAL RESTRICTIONS, SUPPLY CHAIN/MANUFACTURING DISRUPTIONS, UTILITY OUTAGES, OR INTERNET INFRASTRUCTURE FAILURES.

7.3 EXCLUSIVE REMEDY: IF YOU ARE DISSATISFIED WITH THE WEBSITE, SERVICES, OR PRODUCTS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE WEBSITE AND CANCEL YOUR ACCOUNT.

7.4 RISK ASSUMPTION: CONSUMERS ASSUME FULL RESPONSIBILITY FOR IMPLEMENTING ADEQUATE DATA BACKUPS, FIREWALLS, AND VIRUS PROTECTION SECURITY MEASURES ON THEIR LOCAL COMPUTING DEVICES.

7.5 DAMAGES CAP: IN ALL EVENTS, MATTING EXPERTS' TOTAL AGGREGATE LIABILITY TO ANY CUSTOMER SHALL NOT EXCEED THE TOTAL PURCHASE PRICE PAID BY THE CUSTOMER FOR THE SPECIFIC ITEM(S) GIVING RISE TO THE CLAIM.

8. General Provisions

8.1 Entire Agreement: These Terms and Conditions constitute the full and entire agreement between the Parties concerning the subject matter hereof, superseding all prior oral or written agreements, negotiations, and understandings.

8.2 Severability: If any provision of these Terms and Conditions is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

8.3 Section Headings: Section headings are included for structural readability only and hold no binding legal or contractual weight.

8.4 Reasonableness: By using this Website, all parties confirm that they have read these Terms and Conditions and consider all covenants and restrictions reasonable.

8.5 Indemnification: Consumer agrees to defend, indemnify, and hold harmless Matting Experts, its corporate officers, directors, employees, agents, licensors, and suppliers from and against all claims, liabilities, losses, damages, costs, and legal fees resulting from Consumer's violation of these Terms and Conditions, unauthorized site use, or infringement of third-party rights.

8.6 Waiver: No failure or delay by Matting Experts in exercising any right under these Terms and Conditions shall operate as a waiver thereof, nor shall any single or partial waiver preclude any other or further exercise of any legal right. No employee or customer support representative is authorized to verbally alter or waive these written Terms and Conditions.

8.7 Applicable Law & Venue: These Terms and Conditions shall be governed by, construed, and enforced in accordance with the laws of the State of Illinois, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms and Conditions or the Website Services shall be instituted exclusively in the state or federal courts located in Cook County, Illinois.

8.8 Incorporation Clause: These Terms and Conditions explicitly incorporate by reference the disclosures set forth in the site's Privacy & Security Policy.

8.9 Riders: Additional terms or conditional riders may apply to specific enterprise commercial accounts. If applicable, such riders must be executed in writing by authorized officers of both parties to amend these base terms.
